Item 1.01.    Entry into a Material Definitive Agreement
 
On June 16, 2010, IAC Search and Media, Inc. ("IAC") provided notice to LookSmart Ltd. that in accordance with the Sixth Addendum to the May 2005 AdCenter License, Hosting and Support Agreement (the "Agreement") it intended to extend the term of the Agreement on a monthly basis up to August 31, 2010.
