Item 1.02.    Termination of a Material Definitive Agreement
 
On May 21, 2010, LookSmart, Ltd. terminated its Sales Representation Agreement (the "Agreement") with JW Digital. The Agreement was dated October 18, 2009 and provided for commission payments to JW Digital for certain customer orders in the United Kingdom and Germany.
