Item 1.01 Entry into a Material Definitive Agreement

On December 22, 2009, IAC Search and Media, Inc. ("IAC") and LookSmart Ltd. (the "Company") signed a Sixth Addendum to the May 2005 AdCenter License, Hosting and Support Agreement (the "Agreement"). The Addendum is effective December 1, 2009 and, among other things, extends the term of the Agreement through March 31, 2010. In addition, the Addendum allows IAC to extend the term in one-month intervals up to a maximum period of six months.
