On November 12, 2014, Texas Capital Bancshares, Inc. issued a press release announcing that it has commenced a public offering of approximately 2.5 million shares of its common stock. The shares will be issued pursuant to a prospectus supplement filed as part of an existing registration statement filed with the Securities and Exchange Commission on Form S-3.

TEXAS CAPITAL BANCSHARES, INC. ANNOUNCES COMMON STOCK OFFERING
DALLAS November 12, 2014 Texas Capital Bancshares, Inc. (NASDAQ: TCBI) announced today an underwritten public offering of approximately 2.5 million shares of common stock. Texas Capital expects to close the sale of the shares of common stock on November 18, 2014, subject to customary closing conditions.
J.P. Morgan Securities LLC and Deutsche Bank Securities Inc. are serving as Joint Bookrunning Managers for this offering.
The underwriters may offer the shares of common stock from time to time for sale in one or more transactions on the NASDAQ stock exchange, in the over-the-counter market, through negotiated transactions or otherwise at market prices prevailing at the time of sale, at prices related to prevailing market prices or at negotiated prices.
