(the "Registrant") dismissed Kingery, Crouse & Hohl, P.A. as the Registrant's independent accountant. (ii) The reports of Kingery, Crouse & Hohl, P.A. on the financial statements as of and for the period October 29, 1998 through December 31, 1998 contained no adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles. (iii) As of March 24, 2000, the Registrant named a successor accounting firm. (See (2) below.) (iv) In connection with its audit for the period ended December 31, 1998 and through March 24, 2000, there have been no disagreements with Kingery, Crouse, & Hohl, P.A. on any matters of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements if not resolved to the satisfaction of Kingery, Crouse, & Hohl, P.A. would have caused them to make reference thereto in their reports on the consolidated financial statements for such years.
