     The 10Q Report for the 3rd quarter of 2001 (9/30/01) cannot be filed by the deadline due to the following:
       - Engagement of new independent auditors
       - Addition of new Chief Financial Officer subsequent to the end of the quarter
       - Departure of previous Controller subsequent to the end of the quarter
