State below in reasonable detail the reasons why the Form 10-KSB, 20-F, 11-K,
10-QSB or N-SAR or the transition report or portion thereof could not be filed
within the prescribed period.

     Autec Associates, Inc., a Florida corporation (the "Company") and its
independent public accountants, HJ & Associates, LLC, have been engaged in
preparing and reviewing, respectively, the Company's financial statements for
the six-month period ended June 30, 2003. In order to ensure complete, thorough
and accurate disclosure of all material facts in its Quarterly Report on Form
10-QSB, the Company and its attorney are in need of additional time to compile
the necessary information and documentation. The Company's anticipates filing of
its Quarterly Report on Form 10-QSB by August 19, 2003.
