Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On or about October 15, 2008, newly appointed directors Michael Woodford and William D. Smith resigned informally from the board of directors. Neither former director resigned because of a disagreement with the Company on any matter relating to its operations, policies or practices.


Mr. Smith resigned due to a negative change in his health.  Mr. Woodford, an attorney who had performed legal work for the Company from time to time, decided for his own reasons to continue in that capacity.
