                            NARRATIVE

     Management was unable to complete the review of the information contained
in this report,  without unreasonable effort, within such time period as to
allow the timely filing of this quarterly report.   In addition, the report
was provided to the EDGAR agent before the deadline, but due to the high
volume on the EDGAR web site on November 14, 2002, the EDGAR agent was unable
to access the EDGAR system, despite numerous attempts.  As a result, the agent
was unable to transmit the report before the deadline expired.
