Item 7.01. Regulation FD Disclosure.

On August 31, 2006, Heartland Oil and Gas Corp. paid in full the $500,000 owed to SDS Capital Group SPC, Ltd. pursuant to a Convertible Senior Secured Promissory Note dated June 30, 2006 (the “Note”). The maturity date of the Note was August 31, 2006.
