Item 2.04. Triggering Events that Accelerate a Material Direct Financial Obligation.

 

On August 19, 2005, Modtech Holdings, Inc., (the “Company”) received a $628,026 Federal income tax refund. Pursuant to the terms of its existing Financing Agreement with Fortress Credit Corp., dated February 25, 2005, the refund must be used to pay down the outstanding balance of the term loan with the lender.

 

The $628,026 was paid to Fortress Credit Corp. on August 22, 2005 reducing the term loan’s outstanding balance from $14,524,079 to $13,896,053.
