ITEM 2.02. Results of Operations and Financial Condition.

On November 13, 2007, Modtech Holdings, Inc. issued a press release reporting the results of operations for the three-month and nine-month periods ended September 30, 2007. A copy of the press release is attached as Exhibit 99.1. The company will hold a previously announced telephone conference call on November 13, 2007 at 4:30 p.m. Eastern Standard Time to discuss the results.
