Item 1.01. Entry into a Material Definitive Agreement.

Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On March 26, 2010, Wizzard Software Corporation, a Colorado corporation (the “Company”), executed a Promissory Note in the principal amount of $100,000 (the “Note”), payable to Chardan Capital Markets, LLC or its assigns. The Note bears interest at the rate of 10% per annum and is payable on the earlier of: (i) May 15, 2010; and (ii) the date that the Company receives proceeds from its next funding. In the event of default, interest on past due amounts under the Note shall be paid at the rate of 18% per annum.
