(b)                                 May 5, 2005, Cornerstone Ventures, Inc. received the resignation of William H. McFarland as a director of Cornerstone Ventures, Inc.  Cornerstone Ventures, Inc. is the managing member of Cornerstone Industrial Properties, LLC.  Cornerstone Industrial Properties, LLC is the managing member of the registrant.  Mr. McFarland stated that his resignation was due to increased constraints on his time availability.
