Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In conjunction with the operational reorganization discussed in Item 8.01 below, James E. Scheel, Senior Vice President, Northeast Gathering & Processing of The Williams Companies, Inc. (the “Company”), will be leaving the Company effective December 1, 2019.

 

Item 8.01.

Other Events.

On July 9, 2019, Alan S. Armstrong, the Company’s Chief Executive Officer, announced to the Company’s employees that the Company will be consolidating its operating areas by reorganizing into a regulated and non-regulated operating area structure effective January 1, 2020. Mr. Armstrong announced that Scott A. Hallam, Senior Vice President – Atlantic – Gulf, will lead the regulated operating area while Walter J. Bennett, Senior Vice President – West, will lead the non-regulated operating area.
