ITEM 8.01 OTHER EVENTS

In Item 5 of Part II of the Company’s Form 10-Q for the period ending June 30, 2005, the Company reported that it had agreed to the request of the staff of the Securities and Exchange Commission (“SEC”) to file the audited financial statements of the Company’s former FUJIFILM joint venture for the period ending March 31, 2005 as an amendment to the Company’s 2004 Form 10-K. The Company had sold its FUJIFILM joint venture in connection with the sale of the majority of its microelectronic materials business in 2004. In Item 5 of Part II of the Company’s Form 10-Q for the period ending September 30, 2005, the Company reported that due to circumstances beyond its control, these financial statements were delayed and were not expected to be filed until November 2005. Again due to circumstances beyond the Company’s control, these financial statements are now expected to be filed with the SEC in December 2005.
