Other Events.

On May 22, 2008, Capital Bank (“Capital”) and NewBridge Bank, a wholly-owned subsidiary of NewBridge Bancorp, announced that they have entered into an agreement, pursuant to which NewBridge Bank will purchase the Capital branch located at Battleground Avenue, Greensboro, North Carolina. The acquisition, which is subject to customary closing conditions, including regulatory approvals, is expected to be completed in the third quarter of 2008. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
