Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     On February 17, 2006, Larry C. Barenbaum was appointed a member of the Company’s Board of Directors to serve until the next annual meeting of shareholders and the election of a successor. Mr. Barenbaum was not appointed to any committees of the Board of Directors at this time, and there were no arrangements or understandings with Mr. Barenbaum regarding his appointment to the Company’s Board. Mr. Barenbaum has served as a director of Christopher & Banks Corporation since March 1992, serving as its Lead Director since January 2004 and Chairman since December 2005. A copy of the press release announcing Mr. Barenbaum’s appointment to the Board of Directors is attached as an exhibit to this Current Report.
