Explanatory Note:  The purpose of this amendment is to refile the Form 15 filing for SATURNS DPL Capital Security Backed Series 2002-4 Class A Callable Units, originally filed on February 2, 2011.  Such filing preceded the February 22, 2011 final distribution to the holders, which was the subject of a Form 8-K filed on February 23, 2011.
