Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 18, 2015, John D. Correnti, a member of Corrections Corporation of America’s Board of Directors (the “Board”) and member of the Compensation Committee of the Board, passed away. Mr. Correnti served as a member of the Board since 2000 and will be greatly missed. At the present time, no decision has been made regarding a replacement for Mr. Correnti.
