Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 11, 2012, Henri L. Wedell, who currently serves as a director and member of the Audit Committee of Corrections Corporation of America (the “Company”), notified the Company of his intent to retire from the Company’s Board of Directors and Audit Committee effective December 31, 2012. No disagreement between Mr. Wedell and the Company led to Mr. Wedell’s decision to retire. Mr. Wedell, age 70, has served as a director and a member of the Audit Committee of the Company since December 2000.
