On December 19, 2008, the registrant issued a press release announcing that its Board of Directors declared a cash dividend of 5 cents per share on its common stock to be paid on January 16, 2009 to shareholders of record on January 5, 2009

CENTRAL FEDERAL CORPORATION DECLARES DIVIDEND

Fairlawn, Ohio — December 19, 2008 — Central Federal Corporation (NASDAQ: CFBK) announced today that the Company’s Board of Directors declared a cash dividend of 5 cents per share on its common stock to be paid on January 16, 2009 to stockholders of record on January 5, 2009.
