Item 8.01 Other Events.

 

On January 3, 2020, ChoiceOne Financial Services, Inc. (“ChoiceOne”) and Community Shores Bank Corporation (“Community Shores”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) providing for the merger of Community Shores with and into ChoiceOne. The Merger Agreement is described in more detail in ChoiceOne’s Current Report on Form 8-K filed with the Securities and Exchange Commission on January 6, 2020.

 

On May 14, 2020, ChoiceOne received approval from the Federal Reserve Bank of Chicago, acting under authority delegated by the Board of Governors of the Federal Reserve System, to complete the merger.

 

Completion of the Merger is subject to certain customary closing conditions, including, among others, receipt of the requisite approval by Community Shores' shareholders.
