CONSOL Energy Inc. Announces Pricing of $500 Million of Senior Notes

PITTSBURGH, March 25, 2015 — CONSOL Energy Inc. (NYSE: CNX) (“CONSOL”) today announced the pricing of $500 million of its 8.000% senior notes due 2023 (the “Notes”) at a price to the public of 98.552% of their face value. The offering is expected to close on March 30, 2015, subject to the satisfaction of customary closing conditions. The Notes will be guaranteed by substantially all of CONSOL’s wholly-owned domestic restricted subsidiaries.

CONSOL intends to use the net proceeds of the sale of the Notes, together with borrowings under its revolving credit facility to the extent necessary, to purchase all of the approximately $1.02 billion in its outstanding 8.25% senior notes due 2020 (the “2020 Notes”) and the $250 million in its outstanding 6.375% senior notes due 2021 (the “2021 Notes”) pursuant to the tender offers and consent solicitations that commenced on March 9, 2015.

The Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and the rules promulgated thereunder and applicable state securities laws. The Notes will be offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.

CONSOL is a Pittsburgh-based producer of natural gas and coal. CONSOL is one of the largest independent natural gas exploration, development and production companies, with operations centered in the major shale formations of the Appalachian basin.
