CONSOL Energy Inc. Announces Pricing of $1.6 Billion of Senior Notes
PITTSBURGH, April 10, 2014 CONSOL Energy Inc. (NYSE: CNX) (CONSOL) today announced the pricing of $1.6 billion of its 5.875% senior notes due 2022 (the Notes) at par. The offering is expected to close on April 16, 2014, subject to the satisfaction of customary closing conditions. The Notes will be guaranteed by substantially all of CONSOLs wholly-owned domestic restricted subsidiaries.
CONSOL intends to use the net proceeds of the sale of the Notes to purchase all $1.5 billion in its outstanding 8.00% senior notes due 2017 (the 2017 Notes) pursuant to a tender offer and consent solicitation which commenced on April 2, 2014. If any of the 2017 Notes are not purchased in the tender offer, CONSOL intends to use a portion of the net proceeds from the offering to refinance the redemption of the 2017 Notes. CONSOL intends to use any remaining proceeds to repay other outstanding senior indebtedness.
The Notes have not been registered under the Securities Act of 1933, as amended (the Securities Act), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and the rules promulgated thereunder and applicable state securities laws. The Notes will be offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
