Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 15, 2012, Samuel E. Uhl notified First Capital, Inc. (the “Company”) and its wholly-owned subsidiary, First Harrison Bank (the “Bank”), that he will retire as Chief Operating Officer of the Company and as President and Chief Executive Officer of the Bank effective September 30, 2012.  William W. Harrod, President and Chief Executive Officer of the Company and Chief Operating Officer of the Bank, will succeed Mr. Uhl as President and Chief Executive Officer of the Bank.
