Item 1.01 Entry into a Material Definitive Agreement

On December 15, 2008, Provident Bank amended and restated the employment agreement (the “Agreement”) of Richard O. Jones, Executive Vice President, Business Services. The Agreement is substantially the same as Mr. Jones’ prior employment agreement, except that the initial term is two years. The Agreement automatically renews daily unless notice is provided. The Agreement provides for a minimum base salary of $212,000. Mr. Jones’ current base salary is $233,000. The Agreements automatically ends on the last day of the calendar month in which Mr. Jones reaches age 65.
