Item 8.01 Other Events

Class and derivative litigation pending against 21st Century Holding Company (the “Company”) and certain officers and directors of the Company has been resolved.  On January 29, 2010, the United States District Court for the Southern District of Florida approved a stipulation of settlement ("Stipulation") for the securities class action lawsuits filed against the Company and certain of its executive officers.  The Stipulation contains no admission of liability or wrongdoing by the Company or its officers and directors.  On March 15, 2010, counsel for Plaintiffs acknowledged receipt of $2.4 million in settlement funds paid under the Company’s directors and officers’ insurance policy.
