Item 8.01 Other Events

On October 13, 2009, 21st Century Holding Company (the "Company") received an unsolicited offer from Homeowners Choice, Inc. to purchase all the issued and outstanding shares of the Company's common stock.  The Board of Directors of the Company is reviewing the offer and will report the results of its review in due course.
