Item 1.01  Entry into a Material Definitive Agreement

 

On April 8, 2014, Pain Therapeutics, Inc. (the “Company”) entered into the Second Amendment to Lease Agreement (the “Amendment”) which amended the existing Lease Agreement, dated as of December 28, 2010, by and between the Company and StoneCliff Office, L.P., pursuant to which the Company leases approximately 5,700 square feet of office space in Austin Texas (the “Lease”). The Amendment extends the termination date of the Lease from July 31, 2014 to December 31, 2017 and sets new rental rates that are effective as of August 1, 2014.  Future minimum lease payments for the Lease, as amended, are approximately $518,000.
