Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 4, 2020, the Compensation Committee of the Board of Directors of Axon Enterprise, Inc. (the "Company") approved a special incentive bonus for Mr. Joshua M. Isner, the Company's Chief Revenue Officer. In lieu of a cash bonus, Mr. Isner elected to receive a vehicle and a related tax gross-up payment totaling approximately $470,000; of the total amount, approximately 40% related to the tax gross-up payment. Mr. Isner received the vehicle in January 2020.
