Item 1.01. Entry into a Material Definitive Agreement

On January 19, 2007, ViewSonic Corporation (the “Company’) entered into a lease agreement with Catellus Operating Limited Partnership for 298,050 square feet of office space at its existing principal office location (the “Lease Agreement”). The term of the lease commences on July 1, 2007 and runs through the 85^th month thereafter, subject to extension at the Company’s option under certain circumstances. Under the Lease Agreement, the Company’s initial monthly base rent and operating expenses will be $44,886.00 per month.

The summary of the Lease Agreement above is qualified in its entirety by the Lease Agreement attached as Exhibit 10.21 hereto and incorporated by reference herein.
