Item1.01. Entry into a Material Definitive Agreement.

On April 6, 2006, the Compensation Committee of the Board of Directors of ViewSonic Corporation, a Delaware corporation (the “Company”), approved the following cash payments to the Company’s Named Executive Officers for incentive compensation with respect to the second half of 2005. The Company’s fiscal year ends on December 31.
