Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On September 16, 2019, Whirlpool Corporation (the “Corporation”) announced the election of Christopher S. Conley, 42, to the position of Corporate Controller, effective September 16, 2019. In this position, he will serve as the principal accounting officer of the Corporation.
Mr. Conley joined the Corporation in 2005. He served as Senior Finance Director of the Corporation’s Europe, Middle East and Africa region from 2017 to 2019. He served as Senior Director, Investor Relations, from 2014 to 2017, after holding positions of increasing responsibility within the Corporation.
Mr. Conley’s annual base salary in this position will be $300,000. His target award under the Performance Excellence Plan, the Corporation’s annual incentive plan, will be 50% of base salary. His target award under the Strategic Excellence Program, the Corporation’s long-term incentive compensation program, will be 50% of base salary.
Mr. Conley succeeds Matthew M. Nochowitz, who is continuing in his role as the Corporation’s Vice President, Tax.
