Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 16, 2008, Arthur H. Keeney III notified our Board of Directors of his decision to retire as President and Chief Executive Officer of our company and our bank subsidiary, The East Carolina Bank, effective on a date to be determined during mid-year 2009. We currently expect that Mr. Keeney will continue to serve as a director until the expiration of his current term of office during 2010. Mr. Keeney’s successor will be named at a later date.

A copy of our press release announcing the event described above is attached as Exhibit 99.1 to this Report.
