Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 15, 2008, the Compensation Committee of Lodgian's Board of Directors approved a compensation arrangement with Peter T. Cyrus, the Company's Interim President and Chief Executive Officer. Mr. Cyrus will earn an annual base salary of $750,000. The salary will be paid retrocative to his date of appointment, which was January 29, 2008. At this time, Mr. Cyrus and the Company have not entered into an employment agreement and his employment will be on an at-will basis.
