Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 9, 2007, Dr. Sheryl E. Kimes, a member of Lodgian's Board of Directors, informed the company that she intends to resign from her position on the Board effective December 1, 2007. Dr. Kimes' resignation is due to increased responsibilities and upcoming extensive international travel requirements associated with her recent appointment as the Singapore Tourism Board Distinguished Chair in Asian Hospitality Management. This position will require Dr. Kimes to spend a substantial amount of her time in Asia and unable to continue serving on the Company's Board of Directors. Dr. Kimes will also continue her duties as a Professor of Operations Management at Cornell University's School of Hotel Administration.

Dr. Kimes' resignation is not due to a disagreement with the Company on any matter related to its operations, policies or practices.
