Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

This amendment on form 8-K/A is being filed to correct the information previously reported on Form 8-K with respect to the number of shares awarded to each member of our Board of Directors as compensation for service in 2006 and 2007. On January 30, 2007, we authorized a grant to be made to each director on February 12, 2007 of 2,000 shares for 2006 and 2,000 shares for 2007, rather than the 4,000 shares per year previously reported. All other information contained in our Form 8-K dated dated January 26, 2007, including the additional share grants to committee members, remains unchanged.
