Item 1.01 Entry into a Material Definitive Agreement.

On July 15, 2005, Lodgian, Inc. (the "Company") and Edward J. Rohling entered into a Restricted Stock Award Agreement (the "Restricted Stock Agreement"). The Restricted Stock Agreement provides for the grant to Mr. Rohling of 75,000 shares of the Company’s common stock pursuant to the Amended and Restated 2002 Stock Incentive Plan of Lodgian, Inc. Subject to earlier vesting or forfeiture, as provided for in Mr. Rohling’s employment agreement with the Company, one half of the restricted shares shall vest on July 15, 2006 and remaining one half of the restricted shares shall vest on July 15, 2007.
