Item 1.01. Entry into a Material Definitive Agreement.

On February 4, 2005, Lodgian, Inc. (the "Company") and W. Thomas Parrington, the Company’s President and Chief Executive Officer, entered into a letter agreement whereby Mr. Parrington agreed to waive his entitlement to a performance bonus for 2004. Under the terms of his employment agreement with the Company, Mr. Parrington was entitled to a minimum performance bonus of $200,000 for 2004. Mr. Parrington’s waiver of the bonus payment is contingent upon the Board of Directors’ authorization and payment of discretionary performance bonuses for certain other executives of the Company on or before March 15, 2005 in amounts as agreed upon between Mr. Parrington and the Board of Directors.
