Item 3.02 Unregistered Sales of Equity Securities
On May 15, 2006, Waste Services, Inc. announced that it had completed the acquisition of Liberty Waste, LLC in Tampa, Florida. The purchase price for the company consisted of $8.0 million in cash and $3.5 million by the issuance of 1,155,116 shares of restricted common stock of Waste Services, Inc. The number of shares issued was determined based upon the average closing price of a share of Waste Services common stock for the ten trading days preceding the closing date.
As reported on Form 8-K dated February 6, 2006, we had previously paid a deposit of $6.0 million in cash and paid a further deposit of $3.0 million by the issuance of 946,372 shares of restricted common stock. The number of shares of common stock was determined by dividing the consideration amount by the average closing price of a share of Waste Services common stock for the ten trading days proceeding the day of issuance.
The issuance of the common stock is exempt from the registration requirements of the Securities Act of 1933 pursuant to Section 4(2) of the Act and the rules and regulations promulgated there under on the basis that it did not involve a public offering.
