Explanatory Note

On August 31, 2020, NIC Inc. (the "Company") filed a Current Report on Form 8-K (the "Original Form 8-K") reporting, among other things, that on August 26, 2020, the Board of Directors (the “Board”) of the Company had elected Mr. Sylvester “Sly” James to the Board. The sole purpose of this Amendment No. 1 to the Original Form 8-K is to provide a supplement as to Mr. James’ assignments to the committees of the Board.

ITEM 5.02    DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS;     APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

(d) On October 26, 2020, the Board appointed Mr. James to the Company’s Compensation Committee and Corporate Governance and Nominating Committee effective immediately.
