Item 1.01. Entry into a Material Definitive Agreement.

On November 15, 2004, USEC Inc. (the "Company") entered into an agreement with Timothy B. Hansen, Senior Vice President, General Counsel and Secretary of the Company, relating to Mr. Hansen's resignation of employment with the Company. Mr. Hansen will resign effective December 1, 2004. Under the terms of the agreement, Mr. Hansen will receive a severance payment of $1,215,648 in two installments, continuation of benefits for a two year period, full vesting of restricted stock and options, and certain outplacement assistance, and the Company may request Mr. Hansen to serve as an unpaid consultant for a period of six months.
