Explanation of Responses:

1. Filer was an employee (and section 16 reporter) of Issuer until April 1, 2005, on which date Filer separated from Issuer. On November 7, 2005, Filer was re-hired by Issuer (in a section 16 capacity). During the period when Filer was not employed by Issuer, Filer engaged in transactions resulting in Filer netting 27,392 shares of non-derivative securities.

2. Options vest 6.25% per quarter from the date of grant. The date on the table represents the date upon which the options become fully exercisable.

3. Options expire seven years from the date of grant, except upon separation, whereupon expiration occurs after 4 years.
