Item 1.01. Entry into a Material Definitive Agreement.

On January 28, 2022, Peabody Energy Corporation (the “Company”) amended its receivables purchase agreement (as previously amended, the “Receivables Purchase Agreement”) by entering into the Eighth Amendment to the Sixth Amended and Restated Receivables Purchase Agreement (the “RPA Amendment”), by and among P&L Receivables Company, LLC, the Company, the purchaser parties party thereto, PNC Bank, National Association, as administrator, and the other parties party thereto. Pursuant to the RPA Amendment, among other things, the term of the Receivables Purchase Agreement was extended to January 28, 2025 and the purchase limit thereunder was reduced to $175,000,000, which closely aligns with the current average borrowing base.
