Item 5.02.   Departure of Principal Officer

Diane M. Nalty, the Company’s Controller and principal accounting officer, has submitted her resignation effective December 2, 2005 in order to accept a position in the gold mining industry in Montana. The Company will seek a replacement Controller as soon as practical.
