Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 4, 2010, Ellen Walker resigned as a member of the Board of Directors of Ameritrans Capital Corporation, effective as of such date. As described in the Company’s Current Report on Form 8-K filed on December 10, 2009 , Ms. Walker had previously informed the Company’s Board of Directors that she would not seek reelection as a director of the Company at the Company’s next annual meeting of stockholders.
