Item 8.01.  Other Events

Ameritrans Capital Corporation (the "Company") issued a press release to the news media announcing that its wholly owned subsidiary, Elk Associates Funding Corporation, a licensed Small Business Investment Company, received written approval from the Small Business Administration that it had been granted a commitment for $9,175,000 in Small Business Administration long term guaranteed debentures.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
