Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard

 

On November 15, 2005, Critical Path (the “company”) received a letter from the Nasdaq Stock Market (“Nasdaq”) that the Nasdaq Listing Qualifications Panel (the “Panel”) had determined to delist the common stock of the company from The Nasdaq National Market. The decision follows a hearing before the panel on October 6, 2005. The Panel determined to delist the company’s common stock due to its failure to comply with Nasdaq Marketplace Rule 4450(b)(4) regarding minimum bid price, and Nasdaq Marketplace Rule 4450(b)(3) regarding minimum market value of publicly held shares.

 

Nasdaq will delist the company’s common stock from The Nasdaq National Market effective Thursday, November 17, 2005. The company’s common stock will thereafter be quoted on the over the counter market.
