Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard: Transfer of Listing.

 

On October 12, 2005, Critical Path, Inc. (the “Company”) received a letter from the Nasdaq Stock Market that the Company had failed to comply with the Minimum Bid Price requirement under Nasdaq Marketplace Rule 4450(b)(4) and Nasdaq Marketplace Rule 4450(e)(2).

 

On October 18, 2005, the Company issued a press release regarding this letter and related issues. A copy of the press release is attached hereto as Exhibit 99.1, which is incorporated herein by reference.
